"Unreliable. Reader beware!" according to CAC. As a third-year law school student, I've used my fair share of Nutshell books, and historically they've been great -- this one, however, is a complete letdown. While it does provide a very very very broad overview of securities law, it lacks any sort of substantive discussion of the details within the statut. An excellent framework for securities regulations I was reluctant to purchase this book since there was no comment online. Finally I just purchased it as I detected no alternative, and felt fortunate that I have made a wise determination. This book provides a beginner with an excellent framework for US securities regulations and structure of SEC departments. The Nutshell Series is Wonderful Sue I'm not a securities lawyer, but I need to know about the securities laws, and this book fits the bill. I had an older version that I used when I started my job in the securities industry, and it puts everything together in a very succinct way.

It discusses the regulations governing public offerings, public companies, securities businesses, and investment companies. This edition includes recent developments including the Securities and Exchange Commission’s 1933 Act offering reform, the new Financial Industry Regulatory Authority, credit rating agencies, and changes to the New York Stock Exchange specialist system.. It also explores sanctions, civil liabilities, and extraterritorial application. An authoritative summary, it covers the essential background and current status of each major area, while keeping details and citations to a minimum. This title will help you acquire an understanding of the basic content and organization of federal and state securities law
